Terms and conditions

Last updated: 15 October 2026

These terms govern the use of veskgroup.com, of the Vesk client platform (web console and mobile app) and of the membership through which Vesk Group provides its services. By using the site you accept Part A. By accepting a membership proposal you also accept Parts B and C. Please read them carefully: they are written so there are no surprises.

In short

  • The membership is paid monthly in tokens: every task has a fixed size you know before work starts.
  • You pay nothing until the kickoff meeting. If you are not convinced at the end of the first month, we refund that month in full.
  • Unused tokens roll over with no cap while the membership is active.
  • Code, infrastructure and accounts are in your name from day one.
  • You can cancel a monthly membership at any time; it ends at the close of the paid period.

1. Who we are and who you contract with

Vesk Group (“Vesk”) is a brand of the Arbore Pruina group. Depending on the country where your business operates, the company you contract with is:

If your business is inYou contract withAddressCurrency and taxes
CanadaAPRed Software Corp.Toronto, Ontario, CanadaCanadian dollars (CAD) plus HST or other applicable taxes
Mexico and the rest of Latin AmericaArbore Pruina S.A. de C.V.Mexico City, MexicoMexican pesos (MXN) plus VAT (IVA)

Both companies share one team and one platform. In these terms, “we”, “us” and “our” refer to the company that applies to you under the table, and “you” or “the client” to the person or business using the site or holding a membership. If you contract on behalf of a business, you confirm that you have authority to bind it.

Our services are intended for businesses and professionals. If you are a consumer under the law of your jurisdiction, nothing in these terms limits the rights that law grants you and that cannot be waived.

2. Documents that form the agreement and their order

Your relationship with Vesk is governed, in this order of priority in case of conflict, by:

  1. The membership proposal you accepted (plan, department, initial scope, price and particular conditions) and any later written agreement between the parties.
  2. These Terms and conditions.
  3. The Privacy policy and the Cookie policy.
  4. The information published on veskgroup.com, which is descriptive and does not form part of the agreement unless the proposal expressly incorporates it.

A. Use of the website

3. The site and its content

veskgroup.com describes our services and lets you book a call, join a waitlist and estimate how many tokens you would need. The content is provided for information. We make reasonable efforts to keep it accurate and current, but it may contain errors or omissions and may change without notice.

  • Published prices are monthly, before tax, and may change. The price that binds you is the one in the proposal you accept.
  • The token estimator is indicative: it adds up typical sizes to give you an idea of the plan that fits. The real scope and cost of each task are quoted before it starts.
  • Published cases describe real work; each business’s results depend on its context and do not guarantee future results.

4. Acceptable use

You agree to use the site and the platform lawfully and not to:

  • Attempt to access accounts, systems or data that are not yours, or breach or test their security without our written permission.
  • Interfere with their operation, overload them or introduce malicious code.
  • Use the forms to send unlawful, misleading, abusive or automated content (spam).
  • Copy, scrape or reuse the site’s content, design or code without permission.
  • Impersonate another person or business, or misrepresent your relationship with them.

We may suspend or block access for anyone who breaks these rules.

5. Intellectual property in the site

The site, its design, text, code, images, the Vesk Group name, the names of its departments and its logos belong to APRed Software Corp., Arbore Pruina S.A. de C.V. or their licensors and are protected by intellectual-property laws. You may view and share links to our pages; any other use requires our written permission. Third-party trademarks shown on the site belong to their owners.

6. Third-party links and services

The site links to or embeds third-party services (for example, Calendly for scheduling). We do not control those services and are not responsible for their content or practices; when you use them, their own terms and policies apply.

B. The Vesk membership

7. How a membership starts

  1. Discovery call (30 minutes). We check whether we are the right team for your business. If we are not, we tell you and nothing further happens.
  2. Kickoff meeting. We map how your business makes money and what to do first. It is free and does not oblige you to sign up.
  3. Proposal. We send you a proposal with the department, the recommended plan, the first month’s scope, the price and the start date.
  4. Acceptance. The membership begins when you accept the proposal (with the “Accept” button in the link we send, in writing, or by making the first payment). These terms apply from that moment.

You are charged nothing before the kickoff meeting. Billing starts on the start date stated in the proposal.

8. Plans, departments and tokens

A token is the fixed unit of work we use to measure and charge every task. Before any task starts we tell you how many tokens it costs; tokens are deducted only when you approve the task. As a reference: a small change costs 1 token, fixing a bug 3, a complete feature 10, a social-media post 1 and a short video 4. The current catalogue is in the pricing section of the site and in your platform.

PlanTokens per monthWhat it covers
Starter8Maintenance and ongoing improvements
Growth20New features or campaigns every month
Scale40Several fronts at once; the pace of an in-house team
  • Departments. Each plan belongs to a department: Vesk Software, Vesk Marketing or Gold, which lets you spend tokens in any available department. Departments announced as “coming soon” are not available until we say so.
  • Unused tokens roll over to the following month, with no cap, while the membership is active and paid up to date. When the membership ends, accumulated tokens lapse and are neither refundable nor exchangeable for money.
  • Welcome tokens. Every new membership receives 8 extra tokens in its first month. They are a gift: they have no cash value and are not refundable.
  • Extra tokens. If in a given month you need more tokens than your plan includes, you can buy them at your plan’s per-token price, or move up a plan from the following month.
  • Temporary boost (Software only). You can move up one or two plans for one month to speed up a delivery and return to your plan afterwards, paying the higher plan’s price for that month.
  • Plan changes. You can move up a plan at any time (effective from the next period, or immediately if you ask) and move down with effect from the next billing period.

9. How we deliver the service

  • Senior team, AI-assisted. Only senior specialists work on your project. We use artificial intelligence to execute faster; review and decisions are human.
  • A senior lead is your point of contact. You have a monthly meeting with them, and weekly meetings when something needs adjusting; meetings do not consume tokens.
  • Everything visible. In the platform (web and app) you see every task, its status, every reported bug and your token balance in real time.
  • Timing. Every task carries an estimated date we agree with you. We work on business days in Canada or Mexico, as applicable.
  • Scope. Anything not in an approved task is not part of the committed work. If a task grows beyond its quote because of changes you request, we tell you before continuing and agree the extra tokens.

10. First-month guarantee

If you are not convinced at the end of the first month of your membership, we refund everything you paid for that first month in full. Conditions:

  • Request it in writing within 5 business days after the close of your first month, stating the reason (it helps us improve; we do not evaluate it to accept or decline the refund).
  • It applies once per client and per new membership; it does not apply to renewals, plan changes or memberships that have already used it.
  • It applies if you took part in the kickoff meeting and the first month’s monthly meeting, and responded to our requests for information and approvals within a reasonable time. Without your participation we cannot execute.
  • Work already delivered and accounts created in your name remain yours.
  • The refund is made through the same payment method within 15 business days. The membership ends at that point and accumulated tokens are cancelled.

11. Bugs and the working-software guarantee

A bug is behaviour in software we delivered that does not match what was agreed in the approved task. Fixing a bug costs 3 tokens and we fix it until it works, without charging again for the same bug. If the same bug reappears within 30 days of the fix, we fix it at no cost.

The following are not bugs and are quoted as new tasks: a change in what you wanted, a feature that was not in the approved task, a problem caused by third-party changes (platforms, APIs, operating systems, browsers) or by modifications you or another vendor made to the code, and support for software we did not build, unless we have expressly taken it over.

12. Prices, invoicing and payments

  • Price. The price in the proposal you accepted, in your country’s currency, plus applicable taxes. We may update plan prices with 30 days’ notice; the new price applies from the next billing period and, if you disagree, you may cancel without penalty before it takes effect.
  • Frequency. The monthly membership is invoiced in advance at the start of each period. The annual membership is invoiced in advance for 12 months and includes 2 additional months of tokens as a bonus (not a price discount).
  • Payment methods. Bank transfer (Interac or wire in Canada, SPEI in Mexico) against invoice, due within 5 business days; or card through Stripe, charged automatically on each billing date. By giving us a card you authorize us to charge your membership amounts and any extra tokens you approve.
  • Invoices. In Canada we issue invoices with the applicable taxes; in Mexico, a CFDI with the tax details you provide. You are responsible for giving us correct billing details.
  • Late payment. If a payment is not received within 10 days of its due date, we may pause work and platform access until it is settled, after notice. Work resumes when payment is received. Interest on overdue amounts may apply as permitted by law.
  • Third-party costs. Services you contract directly for your business (hosting, domains, licences, app stores, advertising spend, third-party tools) are paid by you and held in your name; they are not included in the membership price.

13. Term, cancellation and termination

  • Monthly membership. It renews automatically each month. You can cancel at any time from the platform or in writing; cancellation takes effect at the end of the period already paid, with no penalty. Started periods are not refunded.
  • Annual membership. It renews automatically at the end of the year unless you give 30 days’ notice. You may cancel earlier, but the remaining months are not refunded, except under the first-month guarantee or for our breach.
  • Tokens on cancellation. You can use your balance until the effective cancellation date; after that, unused tokens lapse.
  • Termination for breach. Either party may terminate the membership if the other seriously breaches these terms and does not remedy it within 15 days of written notice. We may terminate immediately for repeated non-payment, unlawful use of the services or abusive conduct towards our team.
  • Orderly handover. Because everything is in your name from the start, when the membership ends you keep full access to your code, infrastructure and accounts. On request, we give you a summary of the project’s status and access details. Your data on the platform is handled as the Privacy policy describes.

14. Ownership of the work and licences

  • Yours from day one. The code, designs, content and other deliverables we create specifically for you, as well as the infrastructure, domain and service accounts, are created in your name and are your property once the corresponding tokens are paid.
  • Vesk tools. If your project uses our own pre-existing components, libraries, templates or processes, or ones that serve several clients, they remain ours; we grant you a perpetual, worldwide, non-exclusive licence at no extra cost to use them as part of your deliverables.
  • Open-source and third-party software. Governed by its own licences, which we respect and will point out on request.
  • Your materials. You keep ownership of the information, trademarks, content and data you give us, and grant us a limited licence to use them only to provide the service. You warrant that you have the right to use them.
  • References. We may say that you are a Vesk client and show your case only with your prior written permission, which you can withdraw at any time.

15. Client platform and accounts

  • Access to the web console and the app is created by invitation for the people you designate. You are responsible for keeping credentials confidential, for the activity carried out with them and for telling us immediately about any unauthorized use.
  • The platform is a tool for delivering the service; it is not sold as a standalone product and we do not guarantee uninterrupted availability. We perform maintenance with the least possible impact and notify you of planned interruptions.
  • When the membership ends we may deactivate platform access; before that you can download your files and, on request, export your history.

16. What we need from you

To deliver what we promise we need your participation: providing access and information on time, making decisions and approving tasks within reasonable periods, attending the agreed meetings, supplying lawful content and materials with the necessary rights, and complying with the laws that apply to your business (including privacy laws regarding your own customers). Delays attributable to you move the estimated dates by the same amount.

17. Confidentiality

Each party will treat as confidential the non-public information it receives from the other in the course of the relationship (processes, finances, customers, code, proposals, recordings), use it only for the purposes of the agreement and protect it with at least reasonable care. This obligation lasts for the duration of the relationship and 3 years after, and does not apply to information that is public, previously known, independently developed or required to be disclosed by law, in which case the other party will be notified where possible. We will sign a specific non-disclosure agreement if you prefer.

18. Protection of personal information

We process your personal information in accordance with our Privacy policy. When, to deliver the service, we process personal information about your customers, employees or users, we act as a service provider on your instructions: we use it only for the project, protect it with appropriate security measures, return or delete it at the end as you direct, and notify you without delay of any incident affecting it. You are responsible for having the legal basis for us to process it.

19. Use of artificial intelligence

We use artificial-intelligence tools to execute faster (code, design, content, summaries and drafts). Every output is reviewed by a person on our team before it is delivered. Our AI providers are engaged under business terms that prevent them from using your data to train their models. If you prefer that we not use AI in some part of your project, tell us in writing and we will agree on it, considering the effect on timing and tokens.

C. General provisions

20. Warranties and limitation of liability

  • What we warrant. We provide the services with the diligence and quality of a senior professional team, as agreed in each task, and we answer for bugs as set out in section 11.
  • What we do not warrant. Unless expressly stated in the proposal, we do not guarantee specific business results (sales, revenue, search rankings, number of customers or leads), which depend on your market, your operations and factors beyond our control; nor that software will be entirely free of defects or that third-party services will run without interruption. The site and the platform are provided “as is” and “as available”.
  • Cap. To the maximum extent permitted by law, our total liability to you for any claim related to the services is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim, and we are not liable for indirect damages, loss of profit, loss of data not caused by us or consequential damages.
  • Exceptions. These limits do not apply to damage caused by wilful misconduct or gross negligence, to breach of confidentiality, or to any liability that the law does not allow to be limited.

21. Force majeure

Neither party is liable for delays or failures caused by events beyond its reasonable control (natural disasters, widespread internet or cloud-provider outages, acts of government, third-party labour disputes, pandemics). The affected party will notify the other and resume its obligations as soon as possible; if the situation lasts more than 60 days, either party may terminate the membership without penalty.

22. Governing law and disputes

We talk first: any disagreement is first addressed in good faith between your contact person and our senior lead and, if needed, with Vesk’s management, within 30 days.

  • If you contract with APRed Software Corp. (Canada): these terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, and the parties submit to the courts of Toronto, Ontario.
  • If you contract with Arbore Pruina S.A. de C.V. (Mexico and Latin America): these terms are governed by the federal laws of the United Mexican States and, for any dispute, the parties submit to the competent courts of Mexico City, waiving any other venue to which they might be entitled by reason of their present or future domicile.

If you are a consumer, you keep the protection of mandatory rules and the jurisdiction of the courts of your place of residence where the law so provides (for example, Quebec’s Consumer Protection Act or Mexico’s Federal Consumer Protection Law).

23. Other provisions

  • Changes to these terms. We may update them; the current version is always on this page with its date. If you have an active membership and a change affects you materially, we will notify you by email or in the platform at least 30 days in advance; if you disagree, you may cancel before it takes effect. Continuing to use the services after that date means you accept the updated terms.
  • Notices. Notices are sent by email to the registered addresses or within the platform and are deemed received on the business day after they are sent.
  • Assignment. You may not assign the membership without our written consent. We may assign it to another company of the Arbore Pruina group or to a successor, with notice to you.
  • Independence. Vesk is an independent contractor; nothing in these terms creates an employment, partnership or agency relationship between the parties.
  • Severability. If any clause is found invalid, the rest remains in force and the clause will be read in the valid way closest to its intent.
  • Language. These terms are published in English and Spanish. For clients of APRed Software Corp. the English version prevails; for clients of Arbore Pruina S.A. de C.V., the Spanish version.
  • Entire agreement. The accepted proposal, these terms and the documents they incorporate constitute the entire agreement between the parties and replace any prior communication on their subject matter.
